In accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (“GDPR”) and its implementing regulations, UDON FRANCHISING, S. L. (“UDON”) informs all users of the www.udon.com website (the “Website”) about the processing of their personal data, those provided during access and use of the Website and in their day-to-day relationship with UDON.

In general, for what purposes will we process your personal data?

  • To respond to the request for information requested through the “Customer Service” section of the Web.
  • To send information, also by electronic means, about UDON and its franchisees, about our activities, offers, promotions and other information that we believe may be of interest to you.
  • Enable the management, preparation and shipment of product orders placed in any of the different modalities available (“Delivery” or “Take Away”), also electronically.
  • Enable the registration and membership in our loyalty program, N&F Club, as well as the development of all those actions related to the Club membership and described in its legal conditions. In any case, one of the intrinsic benefits of belonging to the Club is the reception of electronic communications with exclusive offers or promotions for its members.
  • To evaluate the candidacy for possible selection processes, for the coverage of vacancies in our company or our franchises, through the “Work with us” section of the Web.
  • To respond to the request for information sent through the “Franchises” section of the Web, if you are interested in joining us as a franchisee.
  • Enable the management of the business relationship with customers and/or suppliers.

What is the legitimacy for the processing of your data?

  • To meet the request for information requested through the “Customer Service” section of the Web. The consent expressed from the request sent.
  • For the sending of information about UDON and its franchisees. Your consent or in respect of customers or loyalty program members legitimate interest / art. 21.2 LSSI.

How long will we keep your data?

In general, the data provided will be kept, for as long as necessary, for each of the purposes for which the data is intended. In any case during the legally established periods for this purpose, in the case of information related to the provision of services. During the period necessary to respond and carry out the corresponding internal monitoring of the suggestion or observation communicated. In the case that you send us a curriculum it could be kept for a period of one year, unless you tell us otherwise. Regarding the sending of commercial communications via electronic means, indefinitely, until you tell us otherwise.

To which recipients will your data be communicated?

In general, the communication of your data to third parties is not foreseen. The only communications that, apart from those legally established, may be carried out, would be between UDON and its franchisees, provided that it is necessary, such as in the case of a purchase (franchisee who must serve the order), job application (franchisee who has the job vacancy) or the management of certain aspects of the loyalty program.

Apart from the aforementioned, third parties, Data Processors, may have access to your data.

What are your rights when you provide us with your data?

Insofar as UDON processes your personal data, you have the right to request:

Access: The data subject shall have the right to obtain from the controller confirmation as to whether or not data relating to him/her are being processed, as well as detailed information about certain aspects of the processing being carried out.

Rectification: The interested party shall have the right to obtain the rectification of inaccurate personal data concerning him/her or the completion of incomplete data.

Suppression: The interested party will have the right to request the suppression of his personal data, in any case the suppression will be subject to the limits established in the regulatory norm.

Limitation of processing: The data subject shall have the right to request the limitation of the processing of his/her personal data.

Opposition to the treatment: In certain circumstances and for reasons related to their particular situation, interested parties may oppose the processing of their data. UDON will stop processing the data, except for legitimate, compelling reasons, or the exercise or defense of possible claims.

Right to data portability: You have the right to receive the personal data concerning you, which you have provided to a data controller, in a structured, commonly used and machine-readable format and to transmit it to another data controller.

What happens if I do not provide the requested data?

The identification data belonging to the client/user, as well as other contact data and any other data that may be required by the applicable regulations, must be declared and the refusal to provide them could result in the impossibility of accessing the service. The remaining data requested are voluntary, so failure to provide them will not prevent the establishment of the contractual relationship.

Guardianship of the supervisory authorities

Safety measures

UDON has adopted the legally required levels of security for the protection of personal data, and has installed all the technical means and measures within its power to prevent the loss, misuse, alteration, unauthorized access and theft of personal data provided to UDON. Nevertheless, the user must be aware that Internet security measures are not impregnable.

Cookies

Udon Franchising, S.L. uses cookies on its website www.udon.com when a user browses the website, either itself as a company or via third parties contracted for measurement, analysis and advertising services.

Cookies are files sent to the browser by a web server in order to record the user’s activities during browsing.

By using cookies, the server hosting the website may recognise the web browser used by the user in order to make browsing easier, allowing, for example, previously registered users to access areas, services, promotions or competitions reserved exclusively for them without having to sign in each time. LEGAL TERMS AND CONDITIONS OF THE UDON LOVERS LOYALTY PROGRAM

UDON Lovers

The UDON Loyalty Program (hereinafter referred to as “UDON Lovers”) allows, based on purchases made at UDON, to earn UDONS (for every 1 euro spent at UDON, 3 UDONS are earned) and redeem these UDONS for euros (for every 100 UDONS accumulated, a €1 discount will be obtained, but it will only be possible to redeem the accumulated euros starting from 250 UDONS) on à la carte items (not valid for set menus).

Only one UDON Lovers account per person is allowed (same name and postal address). UDON reserves the right to request at any time any document that justifies the identity of the person wishing to subscribe or having subscribed to the UDON Loyalty Program.

It is the responsibility of the member to maintain or update the information in their profile by asking at the restaurant or visiting their user session at LOVERS.UDON.COM. UDON cannot under any circumstances be held responsible for a member not receiving an offer due to outdated or incorrect information.

Conditions for registering in the Loyalty Program
By registering on UDON.COM, you are agreeing to enroll in the UDON Lovers Loyalty Program.

Terms of Use
The UDONS accumulated in UDON Lovers are personal and non-transferable. The customer agrees to use the balance accumulated in the UDON Lovers program in accordance with these legal provisions. Otherwise, UDON reserves the right to suspend or cancel the customer’s account in the Loyalty Program under the conditions mentioned in the article “Suspension/Deactivation.”

Personal Data

As part of subscribing to the UDON Lovers Loyalty Program, UDON collects personal data. This information is subject to computerized processing to allow UDON to process received requests and send personalized offers and information. Recipients of this data are UDON FRANCHISING SL and any subcontractors.

This information is recorded in UDON’s customer file and, in accordance with the amended law of January 6, 1978, may give rise to the exercise of the right of access, rectification, and deletion through UDON Customer Service (customercare@udon.com).

Additionally, any member may also object, for legitimate reasons, to the processing of the data concerning them at the address mentioned above.

Benefits of the Loyalty Program

The UDON Lovers Loyalty Program allows its holder, by presenting the QR code found in their personal ‘UDON Lovers’ space on the website LOVERS.UDON.COM or through the Wallet Pass, to earn UDONES on purchases during visits to any UDON Asian Food restaurant on à la carte items (not valid for set menus), as well as for delivery and Take Away services available on UDON.COM.

The UDONS counter is activated as soon as the customer registers on UDON.COM. Just for registering, the customer receives 250 UDONS (€2.5) and, thereafter, for every purchase at UDON, €1 spent will equal 3 UDONS. The customer may redeem this accumulated balance once it has exceeded 250 UDONS and only on à la carte items (not valid for set menus). The redeemed balance will be subtracted from the counter and must reach 250 UDONES again to be able to discount the accumulated balance. A maximum of 1,000 UDONS (€10) can be redeemed per visit. Customers who were previously part of the Exclusive Noodle Friend (ENF) Loyalty Program will receive an initial balance of 250 UDONS (€2.5) for those who had the Exclusive category, 500 UDONS (€5) for those who had the Premium category, and 300 UDONS (€3) for those who were in the Master category.

Once registered on UDON.COM and in the UDON Lovers Loyalty Program, the user will have the possibility to invite 5 friends to register. For each new contact that registers on UDON.COM, the user will receive 25 UDONS, up to a total of 125 UDONS. Thereafter, they may invite more contacts, but will not receive more UDONES for each new registration. Additionally, each customer registered in the UDON Lovers Loyalty Program will receive 100 UDONS extra for their birthday and another 100 for each year they remain in the UDON Lovers Loyalty Program.

General Information

Accumulated UDONS cannot be redeemed for cash. In the case of a refund request, UDON reserves the right to deduct the amount of UDONS credited on the UDON Lovers Loyalty Program card associated with the purchase of the product for which the refund is requested. Accumulated UDONS and redeemable balance will be available:

  • By phone, contacting UDON Customer Service (+34 936 618 606).
  • Through the user area on the website LOVERS.UDON.COM.
  • At the restaurant by asking at the register and presenting the corresponding QR.

Reserved Rights

UDON reserves the right to modify these general conditions and will inform the customer of any modification through the means deemed most appropriate (postal mail, email, update of general conditions on UDON.COM). The latest version of the General Terms applicable to the UDON Lovers Loyalty Program can be consulted on the UDON.COM website.

UDON also reserves the right not to send all offers to all customers of the UDON Lovers Loyalty Program and the right to modify or suspend the program. It is specified that in the event of a final termination of the UDON Loyalty Program, customers will be informed through the means deemed most appropriate (postal mail, email, update on UDON.COM). The customer will then have a maximum of 30 days to benefit from their advantages; if not used within this period, the benefits and UDONS will be lost. Under no circumstances may the customer take any legal action against UDON for any reason. No modification or cancellation of the UDON Loyalty Program will give the participant the right to compensation.

Suspension / Deactivation

The UDON Loyalty Program is designed to provide loyal customers with a series of advantages based on visits and purchases made at the restaurants or website. This program assumes that the participant respects the program conditions and acts fairly with respect to UDON. As a result, UDON reserves the right to suspend a UDON Loyalty Program profile or even permanently deactivate and, if applicable, cancel associated benefits in case of program abuse. UDON will carry out this suspension and/or deactivation after informing the customer, by the means deemed most appropriate, without the customer being able to claim any compensation, particularly in the following cases:

  • In case of fraud, attempted fraud, or theft by the customer in the store and/or on UDON.COM
  • In case of misuse or inappropriate use of the UDON Lovers Loyalty Program
  • In case of any action that may disrupt the operation of UDON.COM, the UDON Lovers Loyalty Program, or restaurant operations
  • In case an abnormally high number of transactions is detected on the same day or over several days
  • Generally, in case of violation of the provisions mentioned in these general conditions

Finally, if the customer makes no purchase for a consecutive period of 24 months, the UDONS and accumulated balance in the customer profile will be lost. UDON will inform the customer that if no purchase is made in the following 30 days, the profile may be permanently deactivated.

Liability

UDON is not responsible for any direct or indirect consequence of any malfunction of the UDON Lovers Loyalty Program. In case of loss or theft of the UDON Lovers Loyalty Program profile, the customer must contact UDON Customer Service via the UDON.COM web form, by email (customercare@udon.com), or by calling +34 936 618 606. UDON will manage the incident as soon as possible and recover the UDONS and accumulated balance.

GENERAL TERMS OF PURCHASE

These General Terms of Purchase apply to the purchase of products that UDON FRANCHISING, S.L. (“UDON”) sells through UDON.COM (the “Website”) to any user thereof (the “Customer/s”), either directly or through the corresponding franchisee, through “Take Away,” “Self-order” (digital order in the restaurant), and/or “Delivery.”

Purchasing products through the Website implies acceptance of the terms and conditions set out in these General Terms of Purchase. If these General Terms of Purchase are not accepted, the purchase of the products will not take place and, consequently, UDON assumes no obligation or liability.

This merchant undertakes not to allow any transaction that is illegal or considered by credit card brands or the acquiring bank to potentially damage their goodwill or influence them negatively. The following activities are prohibited under card brand programs: the sale or offering of a product or service that does not fully comply with all applicable laws for the Buyer, Issuing Bank, Merchant, Cardholder, or cards. Additionally, the following activities are explicitly prohibited: “Sale of alcoholic beverages to persons under 18 years of age.”

By placing an order through the Website, the Customer declares having legal capacity to contract the products on the Website.

The Customer undertakes to provide truthful information about themselves and not to place false orders. In any case, the Customer will be responsible for the truthfulness of their data and the orders placed.

UDON reserves the right to modify content and/or scope of the General Terms of Purchase at any time, without prior notice, so before purchasing any product, the Customer must read the content carefully.

User registration

To make a purchase, the Customer must register via the “Register” section on the Website. For subsequent purchases, if the Customer has registered, only the email address and password are required under “Login.”

Price and payment method

The price of the products will be shown in Euros next to each product on the Website and will include applicable taxes and delivery fees if applicable.

If the order takes longer than expected or the Customer has any other problem with the order, they can contact UDON Customer Service via the email or phone provided on the Website.

The Website contains a large number of products, and some may contain an incorrect or outdated price. If there is a price error, UDON will contact the Customer as soon as possible and offer the option to reconfirm the order at the correct price or cancel it with a refund.

UDON reserves the right to make modifications at any time without notice. The applicable price for the Customer’s order will be the price at the time of accepting the General Terms of Purchase.

The Customer must pay for products using one of the following payment methods:

a) Debit or credit card (only VISA, MASTERCARD, and EURO 6000 are accepted). The Customer must provide the card number and other requested information. The charge will be made once accepted by the financial institution; otherwise, the purchase cannot proceed.

b) PayPal. The Customer must follow the procedure established by this payment platform.

Discounts may apply if the Customer uses a promotional code previously approved by UDON.

After payment, the Customer will receive confirmation from UDON that the order and payment have been successfully completed.

Alcoholic beverages

Current law prohibits advertising, sale, consumption, and supply of alcohol to minors under 18. If underage, the Website will not allow alcohol purchase.

Deliveries

UDON, after verifying the purchase process was completed correctly, will deliver the products according to “Take Away” or “Delivery” to the address provided by the Customer within the timeframe indicated on the Website or by the Customer.

UDON is not responsible for errors in product delivery if the Customer did not correctly complete the Website forms. If there is any delivery issue, UDON will inform the Customer immediately.

The risk of the products is borne by the Customer from the moment they acquire physical possession, and in case of return, will continue to be the Customer’s responsibility until delivery to UDON.

All orders are subject to product availability.

If a purchased product is unavailable, UDON will inform the Customer and may offer a similar product or discount of equal or higher value. Alternatively, the Customer may cancel the order and receive a refund.

If the Customer is absent at delivery, it will be considered unilateral withdrawal from the order.

The Customer must verify the order at delivery. If there is an error fully attributable to UDON, the Customer may request the correct delivery or cancel the order with a refund. No refund will be made if the product has been tampered with beyond opening.

Withdrawal

Due to the nature of the products, statutory withdrawal rights do not apply.

Promotional codes

UDON promotional codes are non-transferable, non-redeemable for cash, and can only be used for credit/debit card payments. Cash will not be given if the order value is less than the code value.

Codes may be used once per Customer. They may only be applied to reduce the purchase price at payment.

UDON reserves the right to impose additional terms and conditions for promotional code use at its discretion.

Complaints

Customers may contact UDON via the “Contact” section on the Website to submit complaints. UDON will respond within one (1) month.

Warranty

Product warranty complies with current legislation and any additional commercial warranty offered to the Customer.

Customers may request a paper invoice for any order.

Personal data protection

Compliance with applicable regulations regarding Customer personal data is governed by the Privacy Policy.

Nullity

If any clause is declared wholly or partially null or ineffective, only that clause or part thereof is affected, and the rest remains in force.

Language

The General Terms of Purchase are written in Catalan, Spanish, and English. In case of discrepancy, the Catalan version prevails.

Applicable law and jurisdiction

The General Terms of Purchase shall be governed and interpreted in accordance with Spanish law.

In case of any conflict or discrepancy in interpretation or application, the courts and tribunals designated by applicable consumer and user jurisdiction laws shall have authority.

In accordance with Law 11/2010 of December 17 on preventing alcohol consumption by minors, selling alcoholic beverages to persons under 18 is prohibited, or by adults over 18 to minors under 18.
